CONNECTICUT’S LLC ANNUAL REPORT DEADLINE LOOMS

Connecticut domestic limited liability companies (those formed within the State of Connecticut) and foreign limited liability companies (those formed outside of the State of Connecticut, but registered here) are required to file annual reports every year with the Connecticut Secretary of State's office, on or before March 31st .
If you are curious as to whether your LLC is required to file an annual report in 2025, you may visit the Connecticut Secretary of Website here for more information, search your business's name, and review your business's information from the landing page:

Connecticut corporations have a filing deadline which varies from that of LLCs, which is based on the formation or registration date. You can check when your business's next annual report is due by locating your business through the above referenced link.
Failing to file your annual report when due subjects your LLC to administrative dissolution. And while you may continue to operate as if your business continues to be an LLC, upon dissolution you are a sole proprietor or partnership at best. There are potential and substantial consequences of administrative dissolution for you to consider, including but not limited to: Personal exposure, meaning your personal assets may be subject to creditor claims (recall, this is most likely the reason you decided to form an LLC in the first place – asset protection);
Cancellation of insurance coverage or a denial of claims; and/or
Lenders accelerating loans based on the dissolution constituting a "default" under the
loan documents (and if you signed a personal guaranty, which most lenders insist on,
that is an issue too). Beyond the filing requirement, it is a great opportunity to review your business records to verify they are in compliance and that any information required to be updated with the Connecticut Secretary of State's Office is current.
